Job Description

    Job Purpose:To ensure compliances of applicable laws of the Company and perform tasks in respect of Secretarial, Compliance and CSR activities of the Company.Area of Operations Key Responsibility1. Secretarial2. Compliance3. CSR1. To carry out secretarial compliances including conducting of Board/Committee/ Shareholders Meetings Notices/ Agenda / Minutes; Filing of various forms and returns with ROC under Companies Act and with RBI under Payment and Settlement SystemsAct and Rules thereunder, maintenance of statutory registers pertaining to CCILand its two subsidiary companies2. Coordinating CSR initiatives of the Company. Due diligence for engagement of implementing agencies, obtaining and review of project proposals, preparing Agenda andMinutes of CSR Committee meetings, monitoring implementation of the project, reviewing progress report and coordinating CSR impact assessments as required under CSR Rules.3. To manage the automated Compliance Management System and review oncontinuous basis all applicable legislations / amendments to ensure that the Compliance Management System is up-to-date. Monitoring of compliance reported by all thedepartments and carrying out independent verification of compliances. Monitoring ofimplementation of all regulatory directives to CCIL and its subsidiaries and Reporting of status of compliance to the Regulatory Compliance Committee4. Coordinate various audits applicable to Department by Internal, Statutory andSecretarial Auditors.5. Assist in coordinating RBI Inspection and monitoring compliance of inspection observations by all the departments and reporting status to Board / Committee6. Maintaining and Reviewing various policies7. Assist department in complyingISO27001 Standards. Routine and other work relating to legal, secretarial &compliance as may be assigned by the departmentSkill, Knowledge & Trainings:1. Good knowledge of Companies Act, 2013 and Rules and Regulations thereunder2. Good knowledge of Secretarial Standards issued by ICSI3. Working knowledge of all other applicable laws generally applicable to a Company such as Labour Laws, Tax Laws, Cyber Laws4. Working knowledge of CSR activities monitoring and compliances5. Very good drafting skills with good command over English language6. Exposure in handling regulatory (RBI / SEBI) compliances and correspondences7. Exposure of working at Stock Exchanges / Clearing Corporations will be preferredFunctional Competencies:1. Independently handle all Secretarial work under the Companies Act, 2013 and Rules asapplicable to CCIL and its subsidiaries including compliances under Payment and Settlement Systems Act, 2007 and RBI CCP / ETP Directions2. Manage the automated Compliance Management System and monitoring andverification of compliances reported by various departments3. Assist in handling Regulatory Inspections and drafting and submission of inspection replies and monitoring of compliance of inspection observations4. Handling CSR activities of the Company including coordination with implementingagencies and impact assessment agencies
